STAR69 Monthly Advertising Agreement

Contract provisions

1. Acceptance

STAR69.NET - reserves the right to refuse any advertising for any reason including but not limited to:
Ad materials from ads to web pages not deemed appropriate for the targeted audience.
STAR69.NET is the sole and final arbitrator deciding whether or not advertising material is appropriate.

2. Rates

Current advertising fees are $15.00 for the 1^st advertisement & $9.00 for each additional advertisement. These rates may be changed from time to time and will not effect previously placed orders.

3. Guaranteed exposure

STAR69.NET guarantees to the VENDOR'S that their ad(s) will be placed in such a way so that the number of exposures will be equal to other ads if no external interference such as war, revolution, natural or man-made disasters, acts of God or other third party intervention, including but not limited to newsworthy events that change public perception of a product or service, interferes with the planned promotion.

4. Warranties

STAR69.NET - makes no warranties, expressed or implied, other than those presented in this agreement. Click-through-rates (percentage of click-thus per exposure) cannot and will not be guaranteed. STAR69.NET will provide a tag identifier at the end of each link for the VENDOR to track visits from STAR69.NET

5. VENDOR Internet presence and content

VENDOR agrees to maintain an active web site for the purpose of selling such products advertised from STAR69.NET It is the VENDOR'S responsibility to submit a suitable alternative page to STAR69.NET if they expect noticeable outages at their main site.

6. Truth in advertising / indemnification for liability

The VENDOR is solely responsible for any legal liability arising out of or relating to the Advertisement and/or any material to which users can link through the Advertisement. The VENDOR represents and warrants that the Advertisement and Link comply with our advertising standards; and that the VENDOR holds the necessary rights to permit the use of the Advertisement and links that will be placed on the site on the VENDOR'S behalf.

The VENDOR warrants that the use, reproduction, distribution, or transmission of the Advertisement for the purpose of this Agreement will not violate any criminal laws or any rights of any third parties, including, but not limited to, such violations as infringement or misappropriation of any copyright, patent, trademark, trade secret, music, image, or other proprietary or property right, false advertising, unfair competition, defamation, invasion of privacy or rights of celebrity, violation of any anti-discrimination law or regulation, or any other right of any person or entity. VENDOR agrees to indemnify STAR69.NET and to hold them harmless from any and all liability, loss, damages, claims, or causes of action, including reasonable legal fees and expenses that may be incurred by them arising out of or related to a breach of any of the foregoing representations and warranties or any other dispute or claim which may arise in relation to advertising or promotional efforts by him on the VENDOR'S behalf, irregardless of whether such dispute may be due to the success or the lack of such in any promotional effort.

The VENDOR agrees that while STAR69.NET will attempt to place the VENDORS ads to produce optimal response, STAR69.NET can not and will not assume any responsibility or make any guarantees that the site will not have breakdowns, outages or malfunctions or intrusion related sabotage.

The VENDOR further agrees that STAR69.NET only place the ads on behalf of the VENDOR and can not assume any responsibility for quantity or quality of response to the placed advertisements, and that STAR69.NET will not get involved in any dispute between any responder and the VENDOR, however in a case where STAR69.NET considers the advertised content to be misleading or that the VENDOR may not be able to deliver on it's promises, then the VENDOR hereby grants STAR69.NET the rights to discontinue such contentious ads with prior warning to the VENDOR when such prior warning is possible or to discontinue any contentious ads when STAR69.NET deem such discontinuation may protect the VENDOR and/or STAR69.NET from harm, legal action or negative publicity.

7. VENDOR'S "home site" content

The VENDOR agrees to present content via its Internet presence deemed appropriate for general viewing by anyone including minors. Content such as pornographic and graphically or verbally explicit materials: promotion of fraudulent offers of goods or services; excessive pop-ups or exit consoles; or any content which may bring STAR69.NET negative publicity, is expressly prohibited & will result in Punitive Cancellation of the contract (Cancellation Without Refund).

8. Topic switching

The VENDOR agrees that they are fully aware that changing the topic of the advertisement during an advertising contract is not allowed and WILL result in Punitive Cancellation (Cancellation Without Refund). The VENDOR agrees to contact STAR69.NET prior to making any changes with regard to advertising content and both parties must agree upon the proposed changes before they are implemented. Failure to do this will result in Punitive Cancellation (Cancellation Without Refund.)

9. Payment

Payment for the agreed upon amount must have been received and/or processed by STAR69.NET before such advertising will become active. All advertising must be paid in full in US currency 7 days prior to the placing or renewal of ads
of any month. Account billing cycles are 1^stand 15^th of the month depending on when your advertising account is activated. Advertising payments not received within 7 days after the new billing cycle will be dropped by STAR69.NET.

10. Vendor cancellation

The VENDOR may cancel the contract at any time with 10 days written notice delivered to STAR69.NET via email, or mail before the end of such calendar month. Upon cancellation, STAR69.NET will make every effort to stop showing the VENDOR’S ads. Upon cancellation, the VENDOR shall no longer be liable for any monthly fees for the following calendar month

By Completing and SUBMITTING the Advertising Request Form to STAR69.NET, the person(s) ordering and /or reserving advertising agree to abide by the above terms and conditions.
